Account First Global Terms of Service and Subscription Agreement

This Subscription Agreement (these “Terms”) governs our provision of Services and Account First Global’s provision of technology platforms and software tools. By entering into an agreement for our services or accessing our platforms, you agree to be bound by these Terms.
If you agree to this Agreement on behalf of an entity, you represent that you are authorized to bind that entity. If you do so without such authority, you agree that you are accepting this Agreement on your personal behalf.
Please read these Terms carefully. Among other things, they require the use of binding individual arbitration to resolve disputes rather than jury trials or class actions. For information about how to opt-out, see Section 12.8 (30-day opt-out period) below.
1. SERVICE PROVISIONS
1.1 We Provide Comprehensive Financial Services
“We” in these Terms means Account First Global and its affiliates.
Our Services encompass comprehensive financial and business support solutions for business and organizational customers, including:
- Professional bookkeeping and accounting services
- Tax preparation, filing, and compliance services
- UAE VAT registration, filing, and compliance services
- Payroll processing and administration
- Management Information Systems (MIS) reporting and analytics
- Financial cleanup and remediation projects
- Business advisory and consulting services
Unless we expressly agree otherwise, our Services and any related communications are not a substitute for and do not include legal advice, investment advice, real estate advice, or healthcare advice.
1.2 Bookkeeping and Accounting Services
We provide comprehensive bookkeeping services where we maintain your accounting records based on information provided by you or at your direction. Our bookkeeping services include:
- Monthly transaction categorization and reconciliation
- Accounts payable and receivable management
- Financial statement preparation (income statement, balance sheet, cash flow)
- General ledger maintenance
- Bank and credit card reconciliations
- Fixed asset tracking and depreciation
1.3 Tax Services
Our tax services include preparation and filing of various tax returns, tax planning, and compliance assistance. We provide support for:
- Corporate income tax returns
- Individual tax returns for business owners
- Quarterly estimated tax payments
- Tax compliance consulting
- Multi-jurisdictional tax matters
1.4 UAE VAT Services
We provide specialized UAE VAT services including:
- VAT registration with Federal Tax Authority (FTA)
- Monthly and quarterly VAT return preparation and filing
- VAT compliance consulting and advisory
- Pre-registration expense analysis and input VAT recovery
- VAT audit support and representation
- Reverse charge mechanism implementation
Clients must maintain VAT records for at least 5 years as required by UAE law. VAT returns must be filed within 28 days of the tax period end. We assist with both mandatory registration (for businesses exceeding AED 375,000 annual turnover) and voluntary registration (for businesses exceeding AED 187,500 annual turnover)
1.5 Payroll Services
Our payroll services include:
- Employee payroll processing and administration
- Tax withholding and remittance
- Benefits administration and deduction processing
- Payroll reporting and compliance
- Employment law compliance assistance
- Direct deposit and check processing
- Year-end tax document preparation (W-2s, 1099s, etc.)
1.6 MIS Reporting Services
We provide Management Information Systems reporting including:
- Customized financial dashboards and reports
- Key performance indicator (KPI) tracking
- Budget vs. actual analysis
- Cash flow projections and analysis
- Business intelligence reporting
- Data visualization and analytics
1.7 Financial Cleanup Projects
We offer specialized cleanup services for businesses with neglected or inaccurate financial records:
- Historical transaction cleanup and categorization
- Account reconciliation and correction
- Data migration and system implementation
- Compliance remediation
- Process improvement and standardization
1.8 Accounting Software and Technology
We utilize various accounting software platforms including QuickBooks Online, Xero, and other industry-standard applications. If you do not have an existing system, we may recommend and help implement appropriate software. Your use of third-party software will be governed by the respective software provider’s terms of service.
1.9 Sole Service Provider
For services where we serve as your primary financial services provider, you agree that we will have primary responsibility for the designated functions. This arrangement enables us to efficiently provide our Services. Any modifications made by you or other service providers to areas under our responsibility may require us to re-perform work, which may result in additional fees or delays.
1.10 Management Direction and Responsibilities
We provide Services at the request and under the direction of your management. Your management remains responsible for:
- All management decisions and management functions
- Setting policies and accepting policy recommendations
- Evaluating the reasonableness of assumptions and adequacy of Services
- Implementation of findings or recommendations
- Ensuring the legality of instructions provided to us
1.11 Information Requirements
Our Services require timely access to:
- Corporate, financial, and business information
- Information technology systems and services
- Accurate and complete representations and data
- Reasonable cooperation in service delivery
Late or insufficient information may cause delays, inability to provide Services, or increased fees.
2. TECHNOLOGY PLATFORM AND DATA
2.1 Platform Access
Account First Global may provide designated users access to our proprietary platforms, software tools, and client portals. You are responsible for:
- Confidentiality of user access credentials
- Setting appropriate internal permissions and policies
- User compliance with this Agreement and applicable laws
- Prompt notification of any security compromises
2.2 Data Usage and Protection
We will use Customer Data as described in this Agreement and our Privacy Policy for business purposes including:
- Providing, protecting, and improving Services
- Sharing data across Services you subscribe to
- Performing aggregated benchmarking studies (without identifying information)
2.3 Intellectual Property Rights
You retain all rights, title, and interest in Customer Data. You grant us limited licenses to use Customer Data to provide Services. We retain all rights to our platforms, software, and internal systems.
2.4 Third-Party Integrations
Our platforms may integrate with third-party services (payroll providers, banking systems, etc.). We do not endorse or assume responsibility for third-party services. You must maintain required subscriptions and comply with third-party terms.
2.5 Data Security and Transfer
We maintain reasonable security standards for data storage and processing. Customer Data may be transferred, stored, and processed in various jurisdictions as necessary for service delivery. By using our Services, you consent to such transfers.
3. CONFIDENTIALITY
3.1 Confidential Information
Confidential Information means information marked as confidential or normally considered confidential. Customer Data and login credentials are your Confidential Information.
3.2 Protection Obligations
We will use reasonable care to protect Confidential Information and use it only for Agreement purposes. We may disclose Confidential Information:
- In accordance with legal process
- With your written consent
- To perform obligations under this Agreement
3.3 Legal Process
If required by legal process, we will use commercially reasonable efforts to notify you before disclosure unless legally prohibited.
4. FEES AND PAYMENT
4.1 Fee Structure
Fees are based on service complexity, transaction volume, and other business factors. Fee structures may include:
- Monthly subscription fees
- Hourly rates for additional services
- Project-based fixed fees
- Usage-based fees for certain services
Subscription fees are prepaid and cannot be carried over to future periods.
4.2 Payment Terms
Payment is due according to agreed terms, typically:
- Monthly subscription fees due in advance
- Hourly services billed monthly
- Project fees as specified in service agreements
All fees are exclusive of applicable taxes.
4.3 Fee Updates
We may update fees with at least 30 days written notice before renewal periods. Continued use of Services constitutes acceptance of updated fees.
4.4 Collection and Late Fees
We may suspend Services for past-due accounts. You agree to reimburse collection costs and late fees as specified in service agreements.
5. TERM AND TERMINATION
5.1 Initial Term
This Agreement begins on the service commencement date and continues for the initial subscription period unless terminated earlier.
5.2 Automatic Renewal
Services automatically renew for equivalent periods unless either party provides termination notice:
- 7 days for monthly subscriptions
- 30 days for annual subscriptions
5.3 Termination Rights
Either party may terminate for material breach with 30 days cure period. We may withdraw from providing Services with appropriate notice and refund of prepaid fees for undelivered services (except for client breaches).
5.4 Effect of Termination
Upon termination:
- We will provide reasonable transition assistance
- Support and information production become discretionary and billable
- You remain responsible for record retention and regulatory compliance
6. NON-SOLICITATION
You agree not to solicit our employees or contractors who have provided Services during the Agreement term and for one year thereafter. Breach of this provision incurs liquidated damages of $25,000 per individual.
7. REPRESENTATIONS AND WARRANTIES
You represent that you have authority to enter this Agreement and will provide accurate information and legal instructions. We represent that we will provide Services in a professional manner consistent with industry standards.
8. DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. LIMITATION OF LIABILITY
OUR LIABILITY IS LIMITED TO THE FEES PAID FOR NON-CONFORMING SERVICES IN THE 12 MONTHS PRIOR TO ANY CLAIM. WE ARE NOT LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES.
10. INDEMNIFICATION
10.1 Our Indemnification
We will indemnify you against third-party claims that our proprietary services infringe intellectual property rights, subject to specified exceptions.
10.2 Your Indemnification
You will indemnify us against claims arising from:
- Your use of Services
- Your violation of this Agreement
- Content or information you provide
- Third-party use of your account
11. COMPLIANCE AND REGULATORY
11.1 Professional Standards
We maintain appropriate professional certifications and comply with applicable accounting and tax regulations. We are not licensed to practice law or provide investment advice unless specifically licensed.
11.2 Data Protection Compliance
We comply with applicable data protection laws including GDPR, CCPA, and local privacy regulations. Specific terms apply for processing personal data.
11.3 UAE VAT Compliance
For UAE VAT services, we ensure compliance with:
- Federal Tax Authority regulations
- VAT registration and filing requirements
- Record keeping obligations
- Penalty avoidance procedures
11.4 Payroll Compliance
For payroll services, we maintain compliance with:
- Employment law requirements
- Tax withholding and reporting obligations
- Benefits administration regulations
- Labor law compliance
12. DISPUTE RESOLUTION
12.1 Governing Law
This Agreement is governed by UAE law and applicable international commercial law principles.
12.2 Dispute Notice
Disputes must be addressed through written notice with 30 days for informal resolution
12.3 Arbitration
Unresolved disputes will be settled through binding arbitration under Dubai International Arbitration Centre (DIAC) rules
12.4 Exceptions to Arbitration
Claims for injunctive relief, intellectual property disputes, and small claims may be brought in India courts.
12.5 No Class Actions
Parties waive rights to class or representative actions. Claims must be brought individually.
12.6 Opt-Out Period
You may opt out of arbitration provisions by providing written notice within 30 days of Agreement execution.
13. GENERAL PROVISIONS
13.1 Assignment
You may not assign this Agreement without our written consent. We may assign this Agreement.
13.2 Amendments
Amendments require written agreement by both parties, except for fee updates and terms updates as specified.
13.3 Severability
Invalid provisions do not affect the remaining Agreement terms.
13.4 Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control.
13.5 Entire Agreement
This Agreement constitutes the entire agreement and supersedes prior understandings.
13.6 Survival
Specified sections survive termination including confidentiality, liability limitations, and dispute resolution provisions.
14. DEFINITIONS
Agreement means these Terms, applicable service agreements, and related documentation.
Customer Data means data provided by you for Services, excluding our proprietary information and general industry knowledge.
Services means the professional services provided under this Agreement including bookkeeping, tax, VAT, payroll, MIS reporting, and cleanup services.
Confidential Information means non-public information marked confidential or normally considered confidential.
You/Your means the customer entity and authorized representatives.
We/Us/Our means Account First Global and its affiliates providing Services.
